Company
Formation

| There
are several types of company in Spain. We will deal with the most common,
which is a limited liability company (S.L.).
Firstly,
an NIE No. (Identification No.) must be obtained.
A
bank account must be opened in Spain and a minimum capital sum of €
3.005 paid in. This money cannot be withdrawn or used until such time as
the company is formed. The bank will then provide a certificate of the
amount in the bank, which must be produced to the notary.
Decide
with your adviser exactly which articles of association you require. It is
best to cover all possibilities, as it is cheaper to include activities in
the original document than to add to the memo and articles of association
later! Give 3 names for the proposed company, as often some are already in
use and not available. Give full names and addresses of all directors.
Once
the confirmation of the name is confirmed

from
the registry in Madrid (4-5 days) your legal representative will prepare
the document for presentation and official transcription to the Notary.
On
the appointed day all directors must attend with their passports, NIE and
/ or residencias. If none of the parties speak Spanish, then a translator
must attend also. Usually, in our case, this is included in the service.
The document is then signed by all interested parties before the Notary.
The deed is left with the Notary for final completion and collected
several days later.
In
2 days you will have your official CIF No. (VAT) No. and will be able to
commence trading!
The
deed is then forwarded to the Central Registry for official registration
in Madrid. The final registered deed will be received approx. 3 months
thereafter. |

| Subvenciones
(Government Grants) available in certain cases, particularly
manufacturing, hotels, rest homes etc. Interlink
